Here’s everything you need to know before joining forces with Edgee!

Edgee is a professional web design and development service provider, committed to delivering the most creative and effective solutions for clients. With a highly skilled team, Edgee not only assists clients in building high-quality products but also accompanies them with warranty and technical support services for the long term.

These Terms of Service aim to regulate the rights, duties, and responsibilities of both Edgee and the client during the collaboration process, ensuring transparency and fairness for both parties. All of our work processes and policies are focused on transparency, respect, and long-term partnership with clients.


1. SCOPE OF SERVICES

1.1. Main Services
Edgee provides web design and development services, including but not limited to:

  • Website

  • Web applications

  • Mobile applications

1.2. Service Development Scope
Each project will include the standard scope of work defined in the "Design Plan" attached to the "Contract," ensuring:

  • The project is designed to be scalable in the future.

  • The project is designed to be manageable by the client.

  • Optimization of user experience in all fields (UX/UI).

  • Responsive design for all screen sizes (PC, tablet, mobile).

  • Integration of tools for marketing and analytics (Google Analytics, Google Search Console).

The client has the right to request additional features or changes during the implementation process. All additional requests or changes may incur extra costs and potentially alter the project timeline.

1.3. Exclusions

  • Domain registration, hosting, or third-party software integrations.

  • Features or integrations outside the agreed scope not included in the "Contract Appendix."

  • Post-production services such as SEO, website management, design, photography, advertising, etc.

Additional costs may be agreed upon and recorded in the "Contract Appendix."


2. CLIENT RIGHTS AND OBLIGATIONS

2.1. Client Rights

Ownership of Final Product: The client is entitled to own the complete final digital product (images, graphics, website interface, management system, admin account) upon project delivery and settlement of all payments.

Warranty and Technical Support: The client is entitled to continued warranty and technical support until Edgee ceases to provide hosting or website maintenance services, or if there is a change in ownership, in which case Edgee will continue the warranty obligation as per the agreement. Additionally, if the source code is delivered, the warranty will end.

Right to Terminate Services: The client has the right to suspend or terminate services if Edgee violates any contract terms, especially if the final product quality does not meet the agreed standards.

2.2. Client Obligations

Timely Payment: The client must pay all fees according to the stages outlined in the "Contract" and any additional costs as agreed during the development process.

Cooperation During Implementation: The client must provide all required materials, data, and information on time as specified in the contract.

Confidentiality: The client is responsible for safeguarding Edgee’s proprietary information and not disclosing it to any third party without written consent from Edgee.

Compliance with Usage Terms: All terms will be detailed in the "Contract."


3. EDGE'S RIGHTS AND OBLIGATIONS

3.1. Edgee’s Rights

Ownership and Control: Edgee owns all intellectual property rights to the source code, design materials, technical documents, and related assets, unless otherwise agreed in writing.

Logo Placement: Edgee reserves the right to place its logo or identifying information in the footer of the product (website/app). If the client does not wish to display the logo, they may discuss a White-label package with Edgee, with transparent fees or terms for logo removal.

Additional Fees: Edgee has the right to charge for requests outside the initial agreed-upon scope, including upgrades, additional features, or other requests not included in the "Contract." Any extra costs from these requests will be agreed upon and recorded in the "Contract Appendix."

Right to Terminate Services: Edgee has the right to suspend or terminate services if the client breaches any contract terms, particularly regarding payment or confidentiality.

3.2. Edgee’s Obligations

Provide Services as Agreed: Edgee must deliver the product/service as described, according to the agreed timeline and quality standards outlined in the contract.

Confidentiality: Edgee commits to not disclosing client information to third parties unless authorized by the client or required by law.

Technical Support: Edgee will provide technical support according to the warranty terms outlined, ensuring timely responses to client requests.

Protect Intellectual Property: Edgee is responsible for resolving any intellectual property disputes arising from products developed by Edgee.


4. INTELLECTUAL PROPERTY RIGHTS

4.1. Client Rights

Ownership of Final Product: The client owns all final digital files (Ai, Ps files for graphics on the website) and the completed product (Domain link, Website interface, Management system, Admin account) upon project completion, signing the acceptance report, and settling all fees. The original design (Figma file) and source code will not be delivered unless the client purchases intellectual property rights.

Source Code Control: The client will only gain control of the source code upon purchasing intellectual property rights for the project, including:

  • Source Code License: The client may purchase the source code license at any time during the development process. If the client chooses to purchase the source code, it will be delivered, and the client will have the right to edit, develop additional features, fix bugs, or change the website's functionality.

  • Design License: The client may purchase the design license (design system and style guide) at any point during the project. If the client chooses to purchase the design license, the design elements will be delivered, and the client will have the right to modify all design elements (color, buttons, font, layout, images, etc.).

4.2. Edgee’s Rights

Copyright: Edgee retains the right to be credited as the author and to protect the integrity of the work under Intellectual Property Law.

Intellectual Property Ownership: Edgee owns all intellectual property rights related to the design and source code of the product, including all materials created during the development process, such as images, content, graphics, and source code.

Source Code Development: If the source code is encrypted, it remains Edgee’s property, and only Edgee has the right to modify or upgrade it. The client may request to purchase the source code for future development with additional costs.

Portfolio Usage: Edgee has the right to list the project in its portfolio to demonstrate its capabilities, but commits not to disclose sensitive information without the client’s written consent.


5. CONFIDENTIALITY

5.1. Edgee’s Commitment to Confidentiality

Confidentiality of Client Information: Edgee commits to not disclosing client information to third parties without written consent from the client, unless required by law.

Security Measures: Edgee will use appropriate technical and administrative measures to protect client data from unauthorized access, loss, or misuse.

5.2. Client’s Commitment to Confidentiality

Confidentiality of Edgee’s Information: The client agrees not to disclose any information related to Edgee’s work processes, source code (if provided), or other related materials to third parties.

Liability for Breach: If the client discloses Edgee’s information causing harm, they will be responsible for compensation under applicable law.

5.3. Handling Confidentiality Violations
Any violations of confidentiality will be handled according to the contract and applicable law. Both parties are responsible for notifying each other immediately upon discovering any breach.


6. SERVICE TIMELINES AND FEES

6.1. Service Duration

Estimated Completion Time: The estimated project completion time will be specified in the contract or related documents, such as the "Design Plan." Any changes to the timeline must be agreed upon in writing.

Factors Affecting Completion Time:

  • The client fails to provide all required materials or timely feedback.

  • Additional requests or changes beyond the initial scope.

  • Force majeure events.

6.2. Service Fees

Base Service Fees: Defined based on the scope of work (number of pages, features, and design style) and selected service packages, as detailed in the "Contract."

Additional Costs: For requests outside the initial service scope, additional fees will apply, as outlined in the "Contract."

Payment Terms: Payments will be made in installments, as specified in the "Contract." If payments are delayed, Edgee reserves the right to suspend services and notify the client.

6.3. Transparency Commitment
All fees will be clearly communicated before execution. Clients have the right to request a detailed quote for any service.


7. WARRANTY AND TECHNICAL SUPPORT

7.1. Warranty Time and Conditions
Edgee guarantees the website’s functionality, stability, and security.

  • Lifetime Warranty applies when the client uses Edgee's design and development services.

  • Warranty continues even if the client purchases the rights but the source code is not delivered.

  • Warranty Ends when the source code is delivered.

7.2. Warranty Exclusions
Exclusions from warranty coverage:

  • Issues caused by external software or third-party services.

  • Problems caused by the client’s failure to protect accounts, change passwords, or follow security protocols.

  • Issues due to hardware failures or force majeure events.

7.3. Warranty Support Process

Critical Issues: Resolved within 8 working hours.

Routine Issues: Resolved within 24 working hours.

7.4. Services Outside Warranty
For additional requests such as modifications, upgrades, or new features, Edgee will provide a quote and estimated completion time before proceeding.


8. EFFECTIVENESS AND AMENDMENTS TO TERMS

8.1. Effectiveness of Terms
These Terms of Service will become effective once the client agrees to sign the contract or begins using Edgee's services.

8.2. Amendment of Terms

Prior Notice and Transparency: If any amendments or additions are made, Edgee will notify the client at least 15 days in advance via email or by posting on the official website, clearly outlining the changes for the client to review.

Individual Agreement Mechanism: If the client does not agree with all or part of the new terms, they may respond directly to Edgee within 15 days to negotiate additional amendments (if applicable).

Deemed Acceptance: If the client does not provide any feedback within 15 days, the amended terms will automatically take effect.
