Edgee is a professional provider of website design and development services, dedicated to offering the most creative and effective solutions for our clients. With a highly skilled team, Edgee not only assists clients in building quality products but also offers long-term support through warranty and technical services.
This Terms of Service document defines the rights, obligations, and responsibilities of both Edgee and the client during their collaboration, ensuring transparency and fairness for both parties. Our working processes and policies are centered around transparency, respect, and long-term partnership with clients.
1. SCOPE OF SERVICES
1.1. Main Services
Edgee offers design and development services that include, but are not limited to:
Websites
Web applications
Mobile applications
Management software systems
Post-production services: SEO, website management, design, photography, advertising, etc.
1.2. Features and Development Scope
Each project will include standard features outlined in the detailed plan attached to the contract, including:
User-friendly interface, optimized UX/UI.
Responsive design for all screen sizes (PC, tablet, mobile).
Integration of analytics tools such as Google Analytics, Google Search Console.
Easy-to-use Content Management System (CMS).
Clients may request additional features or changes during the project implementation. All such requests will be documented and reviewed in an addendum, with associated costs and implementation timelines.
1.3. Excluded Scope
Content writing or image sourcing/purchasing, which is a separate service.
Domain name, hosting, or third-party software costs.
Integrations or features beyond the agreed-upon scope not included in the contract appendix.
2. CLIENT RIGHTS AND OBLIGATIONS
2.1. Client Rights
Final product ownership: Clients have full ownership of the final digital product (website interface, management system, encrypted source code, etc.) once the project is delivered and finalized.
Source code control:
For encrypted source code: The client has full rights to use the product within the delivered scope. If hosting is transferred, the source code will still function but cannot be modified or further developed.
For non-encrypted source code (by agreement): The client owns the open-source code but agrees not to use it for competitive purposes or contrary to the contract's purpose.
Warranty and technical support:
Lifetime support for clients using hosting provided by Edgee.
Free support for the first 3 months for clients not using Edgee's hosting.
Right to terminate services: Clients have the right to pause or terminate services if Edgee breaches any contract terms, particularly if the final product quality does not meet agreed-upon expectations.
2.2. Client Obligations
Timely payments: Clients must pay all fees according to the contract and any additional costs agreed upon during project development.
Collaboration during implementation: Clients must provide all necessary documentation, data, and information according to the timelines outlined in the contract.
Confidentiality: Clients must maintain the confidentiality of Edgee's proprietary materials, information, and technology, and not disclose them to any third parties without written consent from Edgee.
Compliance with usage regulations:
Clients may not modify the source code or system without notifying Edgee.
Clients must use the product only for the purpose specified in the contract.
3. EDGE'S RIGHTS AND OBLIGATIONS
3.1. Edgee’s Rights
Ownership and control:
Edgee retains full ownership of the source code, documentation, and intellectual property related to the services unless otherwise agreed upon in writing.
Edgee reserves the right to place its logo or branding information in the footer of the product (website/app).
If the client does not want the logo displayed, they may negotiate with Edgee for a white-label package, with transparent fees (or terms) for logo removal.
Right to refuse support: Edgee reserves the right to refuse warranty or technical support if the client does not comply with contract terms, such as transferring hosting or modifying source code without prior notice.
Right to charge additional fees: Edgee may charge for requests outside the scope of the initial agreement, including upgrades, additional features, or technical support beyond the warranty period (for clients not using Edgee’s hosting).
Right to terminate services: Edgee has the right to suspend or terminate services if the client violates contract terms, especially regarding payments or confidentiality.
3.2. Edgee’s Responsibilities
Providing services as agreed: Edgee ensures that products and services are delivered as described, within the agreed timeline and quality standards.
Confidentiality: Edgee commits not to disclose client information to third parties unless written consent is given or required by law.
Technical support: Edgee will provide technical support as per the warranty conditions, ensuring that client support requests are responded to within the agreed timeframe.
Protecting intellectual property: Edgee is responsible for resolving any intellectual property disputes arising from the products developed by Edgee.
4. INTELLECTUAL PROPERTY RIGHTS
4.1. Client Rights
Final product ownership: The client has ownership of all elements of the interface, content, digital files, and data upon project completion and full payment (excluding non-encrypted source code and the final project design - Figma file).
Source code control:
Clients automatically own the encrypted source code when using Edgee’s services. This means the client cannot directly edit the website’s source code once the project is complete and must maintain the product’s integrity.
Clients may opt for a separate service package to own non-encrypted source code either from the start or at any time during project development. Costs for this option will depend on complexity and the timing of the request (before, during, or after product delivery). Fees will be clearly disclosed to avoid any ambiguity.
With open-source code ownership, clients have full rights to edit and further develop the product as they see fit.
Usage rights: Clients may use the product for commercial or personal purposes as agreed upon in the contract.
4.2. Edgee’s Rights
Copyright: Edgee retains the copyright to the work and the right to protect the integrity of the work under intellectual property law.
Source code development rights: Source code (if encrypted) remains owned by Edgee, and only Edgee has the right to edit or upgrade the source code. Clients may request to purchase non-encrypted source code if they wish to develop the product with a different team in the future, with additional costs.
Portfolio rights: Edgee has the right to include the project in its portfolio to showcase its capabilities but commits not to disclose any sensitive information without the client’s consent.
5. CONFIDENTIALITY
5.1. Edgee’s Confidentiality Commitment
Client data confidentiality: Edgee commits not to disclose client information to third parties without written consent from the client, unless required by law.
Security measures: Edgee uses technical and administrative security measures to protect client data from unauthorized access, loss, or misuse.
5.2. Client’s Confidentiality Commitment
Edgee’s confidentiality: The client agrees not to disclose information regarding Edgee’s workflow, source code (if provided), or other proprietary documents to third parties.
Responsibility for violations: If the client discloses Edgee’s confidential information causing harm, they are responsible for compensating according to legal provisions.
5.3. Handling Confidentiality Violations
Any confidentiality violations will be handled according to the contract and current laws. Both parties must notify each other immediately upon discovering a violation to coordinate actions.
6. SERVICE TIMELINES AND FEES
6.1. Project Timeline
Estimated Completion Time: The completion time for each project will be specified in the contract or related documents, such as the "Design Plan." Any changes to the timeline will be agreed upon in writing.
Delays may occur if:
The client fails to provide necessary documents or feedback on time.
There are requests for modifications or additions outside the initial agreement.
Force majeure events occur.
6.2. Service Fees
Basic Service Fees: The fees are determined based on the scope of work (number of pages, features, and design style) and the selected service packages.
Additional Costs: Charges will apply for requests outside the initial scope, including but not limited to: feature upgrades, design changes, or developing additional integrated software.
Payment Terms:
Payment will be divided into stages, with specific amounts outlined in the contract.
In the event of delayed payment, Edgee reserves the right to suspend services and notify the client.
Special Offers for Clients: Clients using Edgee’s hosting will receive lifetime warranty and unlimited technical support as part of the package.
6.3. Transparency Commitment
All fees will be clearly communicated prior to implementation. Clients have the right to request a detailed quotation for any service.
7. WARRANTY AND TECHNICAL SUPPORT
7.1. Warranty Terms and Conditions
Clients Using Edgee Hosting:
Lifetime Warranty and Technical Support: Edgee commits to providing lifetime warranty and technical support for clients using Edgee’s hosting. This includes fixing technical issues, system optimization, and protection from security breaches.
If the source code is transferred to the client (whether encrypted or not), lifetime warranty will be reduced to a 3-month warranty immediately after the source code is delivered.
Clients Not Using Edgee Hosting:
3-Month Warranty and Technical Support: This covers technical issue resolution and system optimization, applicable from the date of product handover.
After the first 3 months, any support requests will be evaluated and charged accordingly. The free support within the first 3 months is a supplementary service that demonstrates Edgee’s commitment to its clients.
“Maintenance Package”:
For clients not using Edgee’s hosting but wishing for periodic maintenance (every 2–3 months), Edgee will provide a special quote for this package, which will help clients:
Optimize performance, check for security issues, and update plugins/frameworks.
Receive advice on upgrades or feature development.
The scope of free warranty still depends on the original code implemented by Edgee. Any third-party intervention outside of the maintenance package will be assessed, quoted, or rejected before any work is done.
7.2. Warranty Exclusions
Warranty does not cover:
Issues or problems arising from third-party services or integrated software.
Modifications made by the client to the source code or system without notifying Edgee.
Force majeure events such as natural disasters or emergencies.
7.3. Warranty Procedure
Quick Support:
Critical issues: Resolved within 8 working hours.
Standard issues: Resolved within 24 working hours.
Contact Channels: Clients should send their requests via email or Edgee’s official hotline.
7.4. Services Beyond Warranty
For modification requests, upgrades, or additional feature developments, Edgee will provide a quotation and timeline before proceeding with any work.
8. SUSPENSION OR CANCELLATION OF SERVICES
8.1. Suspension of Services
At Client’s Request:
The client may request to suspend services by providing official notice via email or in writing.
The maximum suspension period is 30 days. After this period, unless otherwise agreed, the service will either resume or be canceled.
Edgee reserves the right to suspend services in the following cases:
The client delays payment for more than 15 days.
The client violates terms regarding confidentiality or intellectual property rights.
Suspension Notice: Edgee will notify the client at least 5 working days before suspending services (unless in the case of severe violations).
8.2. Cancellation of Services
Cancellation at Client’s Request: The client may cancel services by providing written notice or email, after paying all outstanding fees and signing an agreement to close the project.
Edgee may cancel services if the client fails to:
Pay fees after a 30-day grace period.
Modify the source code or system without informing Edgee.
Violate any laws or terms in the contract.
Data and Fee Refund:
Edgee commits to assisting the client in retrieving data within 7 working days from the cancellation request.
In the case of cancellation due to Edgee’s fault, the client will receive a refund for unused service fees.
9. FORCE MAJEURE
9.1. Definition
Force majeure includes, but is not limited to: natural disasters, floods, earthquakes, pandemics, wars, strikes, cyberattacks, or any event beyond the reasonable control of either party.
9.2. Notification Responsibilities
The party affected by a force majeure event must notify the other party within 7 days of the event.
The notice must include a detailed description of the event, its impact on service delivery, and the estimated time to resolve the issue.
9.3. Resolution Measures
Service Suspension: Both parties agree to suspend their obligations during the force majeure event.
Contract Termination: If the force majeure event lasts longer than 60 days, either party may terminate the contract without liability.
10. VALIDITY AND AMENDMENTS OF TERMS
10.1. Validity of Terms
The terms of service are effective from the date the client agrees to sign the contract or begins using Edgee’s services.
10.2. Amendments to Terms
Advance Notice and Transparency: Any changes or additions to these terms will be notified to the client at least 15 days in advance via email or posted on the official website, with a detailed explanation of the changes for the client’s awareness.
Personal Agreement Mechanism:
If the client disagrees with all or part of the updated terms, they can respond directly to Edgee within 15 days to negotiate further (if applicable).
The client still retains the right to suspend or cancel services as outlined in Section 9 if no agreement is reached.
Implied Acceptance: If the client does not respond within 15 days, the amendments will be automatically considered accepted and come into effect.
11. NOTIFICATIONS AND CONTACT
11.1. Methods of Notification
From Edgee to the client:
Notifications will be sent via email, phone, or in writing.
Notifications will be sent to the contact information provided by the client.
From the client to Edgee:
Notifications can be sent via Edgee’s official email: Forwork@edgee.art.
Via the hotline: +84 93 6355076.
11.2. Notification responsibility
The parties must ensure that contact information is accurate and up to date. If there are changes, the other party must be notified immediately.
12. DISPUTES AND RESOLUTION
12.1. Internal Disputes
Any disputes arising will be resolved through negotiation, ensuring goodwill and cooperation between the parties. Edgee is committed to prioritizing resolution through negotiation and mediation before resorting to legal action.
Edgee guarantees that there are no hidden terms or unexpected additional fees beyond what is outlined in the contract and these Terms of Service.
12.2. Dispute Resolution Procedure
Negotiation: Both parties will discuss directly to find a solution within 15 days from the date the dispute arises.
Mediation: If negotiation fails, the dispute will be handled through a mediation organization agreed upon by both parties.
Court: If mediation is unsuccessful, the dispute will be submitted to the competent People's Court in Ho Chi Minh City. The losing party will bear all related costs, including the legal fees of the winning party.
